Subscription Terms and Conditions
If you have subscribed to Ilyce Glink’s weekly articles and YouTube videos for use on your website, you agree to be bound by the Terms and Conditions set out below.
1. Availability of Subscription. This subscription is available to real estate professionals in an office of FIVE (5) people or less or for a real estate professional’s website where the website advertises not more than FIVE (5) real estate professionals. The Subscription is for one (1) year from the date of payment.
2. Basic Rules. Subject to the following rules, from and after the date of your subscription, on a WEEKLY BASIS you may use up to FOUR (4) ARTICLES written by Ilyce R. Glink and Samuel Tamkin and up to FOUR (4) VIDEOS posted on www.ThinkGlink.com’s sister site www.ExpertRealEstatetips.net (the “Content”); a. Provided, however that each of those articles shall have been previously published on www.ThinkGlink.com on or after the date of your subscription. b. You may not use blog posts, podcasts or other content from www.ThinkGlink.com or www.ExpertRealEstateTips.net in any manner, means or form. c. You may not publish, reprint or otherwise use or exploit, in any manner, form or medium, any previously published article and may not use any video, podcast, blog post or other content in any other manner or form except as expressly provided hereunder. d. You may not edit, change, shorten, lengthen or modify any Content.
3. One Website. You may only use the Content on one website and only if such website is hosted by a real estate professional where not more than five (5) real estate professionals participate or benefit from such site.
4. Copyright. All Content must contain the following statement at the end of all written Content and below any video Content: Copyright 2009 Ilyce R. Glink All rights reserved. This article may not be used or reproduced in any manner whatsoever, in part or in whole, without written permission of Ilyce R. Glink. Use of this article without permission is a violation of federal copyright law. Contact www.ThinkGlink.com for more information.
5. No Reprint Rights. Your subscription shall not give you the right to print or reprint any of the Content or to disseminate any content in any manner or form. Your sole rights hereunder are to display the Content on one website as set forth above.
6. One Year Term. You may use the Content for the term of your subscription. At the end of the term of the subscription all Content must be removed from your website and you must cease any further use of the Content in any manner or form.
7. Intellectual Property Protection. The Content articles and Content videos you may receive as part of your subscription package are copyright of Ilyce Glink. You may not use or reproduce or allow anyone to use or reproduce the Content articles, Content videos, or any other content from ThinkGlink.com, any trade marks (such as the "Think Glink," “ExpertRealEstateTips” name and logo or other trade names appearing on the sites, including, but not limited to Ilyce Glink’s name and likeness) for any reason without written permission from ThinkGlink.com and Ilyce Glink.
8. Additional Restrictions on the Use of Content. You may not do any of the following without prior written permission from ThinkGlink.com and Ilyce Glink: a. reproduce or store in or transmit to any other web site, newsgroup, mailing list, electronic bulletin board, server or other storage device connected to a network or regularly or systematically store in electronic or print form, all or any part of the Content, or b. Modify, publish, transmit, participate in the transfer or sale of, reproduce, create derivative works from, distribute, perform, display, or in any way exploit all or any part of the Content (including use as part of any library, archive or similar service) without the prior written consent of ThinkGlink.com and Ilyce Glink. c. Remove the copyright or trade mark notice from the Content. d. Any use of Content not specifically permitted above is expressly prohibited.
9. License Fee and Payment If your use of the Content is terminated by us, and such termination is not due to your violation of the terms and conditions hereunder, you will be entitled to receive a partial refund of your subscription cost. If your termination is due to your violating the terms and conditions hereunder, no refund will be given. Refunds for the subscriptions are computed on a pro-rata basis, as long as more than eight months of the subscription remains. The cost of each month (or part thereof) of the subscription that has elapsed will be deducted from the cost of the annual subscription on the basis of the rate initially paid. Once four months of your subscription have elapsed, not refunds are given. Refunds can only be made to the credit/debit/charge card that was used for the original purchase. No other refunds will be given.
10. Term and Termination. We may terminate the subscription and access to the Content at any time with or without cause by delivering notice to you. The rights of termination are in addition to all other rights or remedies we may have or provided in these Terms and Conditions or by law.
11. No Warranty, Disclaimer of Liability and Indemnity. While every effort has been made to ensure the high quality and accuracy of the Site, We make no warranty, express or implied concerning the Content, ThinkGlink.com, or ExpertRealEstateTips.net. All Content is provided to you in an "AS-IS, WHERE-IS" basis. We expressly disclaim any and all warranties, including but not limited to warranties of fitness for a particular purpose and warranties of merchantability and any other warranty express or implied by law. In no event will we be liable for direct, special, incidental, or consequential damages (including, without limitation, damages for loss of business profits, business interruption, loss of business information or other pecuniary loss) arising directly or indirectly from the use of the Content. We do not guarantee the accuracy of the Content nor do we guarantee that the Content will be free from viruses or other contaminating or destructive properties. In no event will our liability, its affiliates, agents, employees and representatives to you (and/or any third party) arising out of any kind of legal claim (whether in contract, tort, or otherwise) in any way connected with the sites and/or Content or breach of these Terms by us exceed the amount, if any, paid by you to us. Upon our request, you agree to defend, indemnify and hold harmless us, our agents, representatives, officers and employees from any claims and expenses, including reasonable legal fees, related to any breach of these Terms and Conditions by you or your use of any sites and the Content.
12. Miscellaneous a. Changes to these Terms. We may, in our discretion, change these Terms and Conditions. When Terms and Conditions are changed we will publish these changes on the ThinkGlink.com Store. If you use the Content or the sites after we have published the changes, you agree to be bound by those changes. If you do not agree to be bound by those changes, you should not use the site and Content any further. The use of the Content and the sites are also governed by the terms and conditions of those sites and such terms and conditions are incorporated herein by this reference. b. Assignment of Agreement. This agreement is personal to you and your rights and obligations under these Terms and Conditions may not be assigned, sub-licensed or otherwise transferred. This agreement may be assigned to a third party by us. c. Non-Waiver. No delay or omission on the part of either party in requiring performance by the other party of its obligations will operate as a waiver of any right. d. Notices. Notices to The Economist must be given in writing by letter and sent to Samuel Tamkin, 165 N. Canal, Suite 1425, Chicago, IL 60606. e. Severability/Survival/Statute of Limitations. If any provision of these Terms and Conditions is invalid or unenforceable, such will not render all the Terms and Conditions unenforceable or invalid but rather the Terms and Conditions will be read and construed as if the invalid or unenforceable provision(s) are not contained therein. Any cause of action of yours with respect to these Terms must be filed in a court of competent jurisdiction in Chicago, Illinois, within one year after the cause of action has arisen, or such cause will be barred, invalid, and void. f. Whole Agreement. Save as expressly referred to herein, any representation, warranty, term or condition not expressly set out in these Terms shall not apply. g. Headings. Headings in these Terms are for convenience only and have no legal meaning or effect.
13. Governing Law and Jurisdiction. These Terms and Conditions shall be governed by, and construed in accordance with, the laws of the State of Illinois, irrespective of conflict of law’s provisions. The parties irrevocably agree that the courts of Cook County, Illinois shall have exclusive jurisdiction to settle any dispute which may arise out of, under, or in connection with these Terms and Conditions or the legal relationship established by them, and for those purposes irrevocably submit all disputes to the jurisdiction of the courts of Cook County, Illinois.
